1. Introduction

This Acceptable Use Policy ("AUP") governs your use of the Dealer Delivery Manager software-as-a-service platform (the "Service") provided by 44Halo, LLC ("we," "us," or "our"). This AUP is incorporated into and forms part of the Master Subscription Agreement between you and 44Halo, LLC.

By using the Service, you agree to comply with this AUP. Violation of this AUP may result in suspension or termination of your access to the Service.

2. Permitted Use

The Service is designed to help automotive dealerships manage vehicle delivery, detail, and reconditioning workflows. You may use the Service only for:

  • Managing internal dealership workflow and operations
  • Tracking vehicle status, location, and preparation tasks
  • Coordinating between departments (sales, service, detail)
  • Managing vendor relationships and external service providers
  • Generating reports and analytics for your business operations
  • Any other legitimate business purpose related to dealership operations

3. Prohibited Conduct

You may not use the Service to engage in any of the following prohibited activities:

3.1 Illegal Activities

  • Violate any applicable federal, state, local, or international law or regulation
  • Engage in fraud, money laundering, or other financial crimes
  • Facilitate, promote, or engage in illegal activities of any kind
  • Violate consumer protection laws, including unfair or deceptive trade practices

3.2 Security Violations

  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
  • Probe, scan, or test the vulnerability of the Service or any related system or network
  • Circumvent, disable, or interfere with security-related features of the Service
  • Use any robot, spider, scraper, or other automated means to access the Service without our express written permission
  • Introduce viruses, trojans, worms, logic bombs, or other malicious code
  • Attempt to decipher, decompile, disassemble, or reverse engineer any software comprising the Service

3.3 System Abuse

  • Overload, flood, or otherwise impair the proper functioning of the Service
  • Interfere with any other user's ability to access or use the Service
  • Use the Service in a manner that exceeds reasonable usage patterns or consumes disproportionate resources
  • Use the Service to send spam, chain letters, or other unsolicited communications

3.4 Harmful Content

  • Upload, transmit, or store content that is defamatory, obscene, pornographic, or unlawful
  • Upload content that infringes on the intellectual property rights of others
  • Harass, threaten, or intimidate any person
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity

3.5 Unauthorized Commercial Use

  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service to provide services to third parties on a bureau, outsourcing, or time-sharing basis
  • Use the Service to develop a competing product or service
  • Benchmark or publish performance data about the Service without our written consent

3.6 Data Misuse

  • Collect, harvest, or mine data from the Service except as necessary for your authorized use
  • Access or use data belonging to other users of the Service
  • Use customer data in violation of applicable privacy laws
  • Share login credentials with unauthorized individuals

4. Your Responsibility

4.1 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Restricting access to your account to authorized personnel only
  • Notifying us immediately of any unauthorized access or security breach
  • All activity that occurs under your account

4.2 User Management

If you grant access to the Service to employees, contractors, or agents, you are responsible for their compliance with this AUP. You must promptly revoke access for any user who violates this policy or whose access is no longer necessary.

4.3 Data Accuracy

You are responsible for the accuracy and legality of any data you input into the Service. If you input customer data, you must ensure you have obtained any necessary consents and comply with applicable privacy laws.

5. Enforcement

5.1 Monitoring

We reserve the right (but have no obligation) to monitor use of the Service to ensure compliance with this AUP. We may review account activity, content, and usage patterns to investigate suspected violations.

5.2 Violation Response

If we determine that you have violated this AUP, we may take one or more of the following actions, in our sole discretion:

  • Issue a warning
  • Temporarily suspend your access to the Service
  • Permanently terminate your account
  • Remove or disable access to content that violates this AUP
  • Report violations to law enforcement authorities
  • Pursue any other remedies available under the Master Subscription Agreement or applicable law

5.3 No Refunds for Violations

If your account is suspended or terminated due to a violation of this AUP, you are not entitled to any refund of fees paid.

5.4 Cooperation with Authorities

We will cooperate with law enforcement authorities and comply with legal process requesting information about users who violate this AUP or applicable law.

6. Reporting Violations

If you become aware of any violation of this AUP, please report it immediately to:

Please include as much detail as possible, including the nature of the violation, any relevant account information, and supporting evidence.

7. Data Security

We implement reasonable administrative, technical, and physical safeguards to protect your information, including:

  • Encryption of data in transit using TLS/SSL
  • Encryption of sensitive data at rest
  • Access controls and authentication requirements
  • Regular security assessments and monitoring

No method of transmission or storage is 100% secure. While we strive to protect your information, we cannot guarantee absolute security.

8. Changes to this Policy

We may update this AUP from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised AUP.
